Tata Sons on Thursday reappointed N. Chandrasekaran as Executive Chairman for another five-year term, reversing his decision last month not to seek an extension after his current tenure ends in February 2027.
The decision was taken by the Tata Sons board on Thursday after Chandrasekaran agreed to reconsider his earlier decision following a request from the board. The board approved his reappointment by a majority vote.
According to Tata Sons, the company’s Nomination and Remuneration Committee had met on September 3 to consider Chandrasekaran’s August 12 decision not to seek another term. The committee subsequently requested him to reconsider and recommended his reappointment.
“At the meeting of the Board on September 17, 2026, Chandra acceded to the Board’s request to re-consider his decision. The Board thereafter resolved by a majority vote to re-appoint him as Executive Chairman for a further term of five years upon the expiry of his current tenure,” Tata Sons said in a statement.
The development has, however, triggered a dispute with Tata Trusts, which holds approximately 66 per cent of Tata Sons. Tata Trusts Chairman Noel N. Tata opposed the reappointment, maintaining that Chandrasekaran’s earlier decision to step down had been accepted and had attained finality.
Tata Trusts described the board resolution as “illegal” and a “legal nullity”, while asserting that the process to identify a successor should have been initiated in accordance with the company’s Articles of Association. Noel Tata voted against the reappointment at the board meeting.
Tata Sons, meanwhile, said the board had also decided to initiate steps to comply with applicable Reserve Bank of India guidelines and seek guidance from the RBI, Tata Trusts and other stakeholders regarding the applicable compliance requirements.
The board’s decision came amid a broader debate over the future structure and governance of Tata Sons, including the company’s proposed listing. Reports said the board also moved forward with plans related to listing Tata Sons, while Noel Tata opposed the move.
Chandrasekaran has served as Chairman of Tata Sons since 2017 and was reappointed in 2022. His current term is scheduled to end on February 20, 2027, making Thursday’s decision a reversal of the succession process that had appeared to be underway following his August announcement.
The competing positions of Tata Sons and Tata Trusts have now opened a significant governance dispute over Chandrasekaran’s continuation at the helm of the group’s holding company. The legal validity of the board’s resolution has been specifically challenged by Tata Trusts.
