Noel Tata has escalated his challenge to N. Chandrasekaran’s reappointment as Executive Chairman of Tata Sons, alleging procedural irregularities in the board’s decision and raising questions over potential conflicts of interest.
In a letter to Tata Sons Company Secretary Suprakash Mukhopadhyay, Noel Tata has sought extensive records and disclosures within seven days, contending that the resolution reappointing Chandrasekaran for another five-year term from February 21, 2027, is invalid.
According to Noel Tata, the reappointment was not properly listed on either the original or revised board agenda. He said Item 7 was described only as a “Debriefing from Nomination and Remuneration Committee (NRC)”, under which the resolution was subsequently moved, despite the committee’s agenda and minutes allegedly not being circulated to directors.
He has also questioned the absence of a selection committee under Article 118 of Tata Sons’ Articles of Association. Further, he contended that the affirmative vote required from directors appointed under Article 104B, read with Article 121, was not obtained.
Another objection concerns the company secretary’s certification of the resolution and its filing with the Registrar of Companies before the board minutes had been finalised.
Noel Tata has sought the original audio-video recording and transcript of the September 17 meeting, the final minutes, individual voting records and an audit trail documenting changes to board papers.
The second set of concerns relates to Hanno One Warehousing, whose directors include Chandrasekaran’s wife and son. Noel Tata has questioned whether these commercial relationships were disclosed to Tata Sons before the reappointment was considered.
He has also raised questions about the participation of Venu Srinivasan, TVS Motor’s Chairman Emeritus and a member of Tata Sons’ NRC, in the September 3 deliberations and his casting of the Article 104B director’s vote. Noel Tata argued that Srinivasan should have disclosed the relevant dealings and recused himself.
The allegations centre on the procedures followed in the reappointment process and potential conflicts of interest. The claims represent Noel Tata’s objections to the board decision.
