New Delhi, October 31, 2026 (Yes Punjab News)

The Securities and Exchange Board of India (SEBI) has issued administrative warning letters to PC Jeweller promoter and Managing Director Balram Garg and Company Secretary and Compliance Officer Vijay Panwar over the failure to maintain a structured digital database relating to unpublished price sensitive information (UPSI).

PC Jeweller Ltd disclosed the development in a regulatory filing on Saturday, stating that the warnings were issued by the market regulator on October 30, 2026.

The matter relates to the company’s business update for the quarter ended June 30, 2025, which was disclosed to stock exchanges on July 3, 2025. According to SEBI, the lapse involved non-maintenance of a structured digital database containing details related to UPSI concerning the quarterly business update.

The company acknowledged that the required database had not been maintained for the disclosure in question. However, it said safeguards against insider trading were in place during the relevant period.

PC Jeweller stated that the trading window for designated persons and their immediate relatives remained closed from July 1, 2025, until two days after the announcement of the financial results for the June quarter.

The company announced its results for the quarter ended June 30, 2025, on August 1, 2025, with trading restrictions remaining in force until August 3, 2025.

Under SEBI regulations, listed companies are required to maintain a structured digital database recording details of individuals with whom unpublished price sensitive information is shared. The requirement forms part of the regulatory framework aimed at preventing insider trading and promoting transparency in the securities market.

PC Jeweller clarified that SEBI’s action was administrative in nature and did not involve any financial penalty.

The company also said the warning letters would have no impact on its financial position, operations or other business activities.
